9. Indemnification and Dispute Resolution
Indemnification:
You agree to indemnify, defend and hold harmless Illinois Gutter Guys, its officers, directors, employees, agents, and third parties, for any costs, claims, damages, losses, liabilities and expenses (including reasonable attorneys' fees) relating to or arising out of your use of or inability to use the 10-digit long code messaging service, your violation of any terms of this Agreement or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations, including but not limited to A2P 10DLC regulations.
Dispute Resolution:
Any disputes arising out of or relating to the terms, services, or the like, shall be resolved through binding arbitration in Munster Indiana, in accordance with the then-current rules of the American Arbitration Association. If the arbitration results in an award which imposes an obligation on you, you shall reimburse Illinois Gutter Guys for the reasonable attorneys’ fees and costs incurred by Illinois Gutter Guys in arbitration. If the law allows for an award of reasonable attorneys’ fees and costs, then such reasonable attorneys’ fees and costs shall be awarded to the prevailing party.
